1. Introduction

These Terms and Conditions (the "Terms") govern your access to and use of survee.io(the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

The Service is operated by the owners of survee.io. Specific corporate and jurisdictional details may be updated as the Service evolves, including incorporation in Luxembourg if/when the website generates revenue.

2. Definitions

• "Customer", "you", or "your" means the person or entity using the Service.
• "Content" means forms, responses, data, text, images, or other materials submitted to or processed by the Service.
• "Subscription" means a paid plan for continued access to the Service's features.

3. Accounts & Eligibility

• Registration is required to access the Service. You must provide accurate and complete information.
• You are responsible for safeguarding your account credentials and for all activities under your account.
• Accounts may be created by professionals, teams, and businesses. The Service is not directed to those under 18.

4. Access to the Service

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms and all applicable laws.

5. Free Trial & Subscriptions

• Free Trial: A 7-day free trial is available on all plans. We may require valid payment details to start the trial.
• Subscriptions: Plans are billed on a recurring basis via Paddle and automatically renew until canceled.
• We may modify plan features and pricing with prior notice where required by law. Changes take effect on your next billing cycle.

6. Billing, Taxes & Refunds

• Payments and invoicing are handled by Paddle acting as the merchant of record. Applicable taxes may be charged.
• You authorize recurring charges until you cancel. You can cancel at any time in your account settings; access continues until the end of the then-current term.
• Refunds: No refunds after payment. Local statutory rights (if any) remain unaffected.

7. User Content & Ownership

• Ownership: You own your Content (including forms, responses, and analytics derived from your data).
• License to Us: You grant us a worldwide, non-exclusive license to host, process, transmit, and display Content solely to provide and improve the Service and to comply with law.
• Deletion: You may delete your account and associated Content at any time; deletion may take up to a reasonable period from backups and logs.

8. Acceptable Use

You may not use the Service to store or transmit illegal, spam, or abusive content; to violate the rights of others; to disrupt or overload the Service; or to attempt unauthorized access. We may investigate and take action for violations, including removal of Content and suspension.

9. Privacy & Data Processing

• Your use of the Service is subject to our Privacy Policy.
• Where we process personal data on your behalf, we act as a processor. A Data Processing Addendum (DPA) is available upon request.
• You are responsible for providing legally adequate privacy notices and obtaining consents from your end-users, where required.

10. Intellectual Property (Ours)

We (and our licensors) retain all rights, title, and interest in and to the Service, including software, UI, and underlying technology. No rights are granted except as expressly stated in these Terms.

11. Beta & Experimental Features

We may offer beta or experimental features. They are provided "as is" without warranties and may be modified or withdrawn at any time.

12. Availability, Support & Changes

• We strive for high availability but do not guarantee uninterrupted Service.
• Support is provided on a commercially reasonable basis.
• We may change or discontinue features with reasonable notice where practicable.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

15. Indemnification

You will indemnify and hold harmless the operators of survee.io and their affiliates from and against any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your Content, your use of the Service, or your violation of these Terms or applicable law.

16. Suspension & Termination

• We may suspend or terminate access for violations of these Terms, legal requests, security risks, or non-payment.
• You may cancel at any time; termination is effective at the end of your current billing term.
• Upon termination, your right to access the Service ceases, but certain provisions survive (e.g., ownership, disclaimers, limitations of liability).

17. Governing Law & Venue

These Terms will be governed by the laws applicable to the future corporate entity operating survee.io. Venue and jurisdiction will be specified upon incorporation (anticipated: Luxembourg), without regard to conflict-of-law principles.

18. Export & Sanctions

You represent that you are not located in a sanctioned country and are not a prohibited party under applicable export control or sanctions laws. You agree to comply with such laws in your use of the Service.

19. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is held unenforceable, the remaining provisions will remain in effect.
• Assignment: You may not assign these Terms without our prior written consent.
• No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Notices: We may provide notices via email or the Service interface.

20. Changes to These Terms

We may modify these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
